1. Parties to these Terms and Conditions

Research Analyst: Jagadeesh Patil, SEBI Registered Research Analyst (Registration No: INH000025285), having registered office at Flat-1302, Plot-4, Alliance Icon CHS, Sector-8, Ghansoli, Navi Mumbai, Maharashtra - 400701, hereinafter referred to as the “Research Analyst” or “RA”.

Client: The individual or entity subscribing to or availing research services provided by the Research Analyst.

2. Availing the Services

The Client hereby accepts the research services and confirms that the services are being availed at the Client’s own discretion. The Research Analyst agrees to provide such services in accordance with these Terms & Conditions.

3. Obligations of Research Analyst and Client

Both the Client and the Research Analyst shall remain bound by all applicable SEBI regulations, circulars, notifications, and amendments including the SEBI (Research Analysts) Regulations, 2014 and applicable laws in force from time to time.

4. Client Information & KYC

The Client agrees to submit all required documents and information requested by the Research Analyst for completion of KYC formalities.

The Client hereby consents to the Research Analyst obtaining KYC records from the KYC Registration Agency (KRA), wherever applicable.

5. Standard Terms of Service

The Client acknowledges and agrees to be bound by all terms, conditions, amendments, disclosures, and updates communicated by the Research Analyst.

The Client confirms:

• The Client has read and understood the terms applicable to a Research Analyst under SEBI regulations.
• The research services are being subscribed solely for the Client’s own use and benefit.
• Any investment decision taken on the basis of research reports shall be entirely at the Client’s own discretion and judgment.

The Client understands that:

• Investments in securities markets are subject to market risks.
• Past performance does not guarantee future results.
• Research recommendations do not assure profits or returns.
• The Research Analyst shall not be liable for losses incurred based on any recommendation or research report.

6. Declaration by Research Analyst

• The Research Analyst is duly registered with SEBI as a Research Analyst under Registration No. INH000025285.
• The Research Analyst possesses all registrations and qualifications required under applicable regulations.
• Services rendered do not violate any applicable law, regulation, or contractual obligation.
• Maximum fees charged shall remain within limits prescribed by SEBI/RAASB.
• No assurance of returns or guaranteed profits is provided.
• The Research Analyst is not engaged in activities that compromise independence or objectivity of research recommendations.

7. Fees and Payment Terms

• The Client agrees to pay all applicable fees within the agreed timeline.
• Payments shall only be made through authorised banking channels such as UPI, Net Banking, Payment Gateway, Cheque, or Bank Transfer.
• Cash payments are strictly prohibited.
• Payments must only be made to the official bank account of the Research Analyst.

8. Risk Disclosure

• Trading and investing in securities markets involve substantial risk.
• Market fluctuations may result in partial or complete loss of capital.
• Research recommendations may not always prove profitable.
• Registration granted by SEBI, membership of BASL, or NISM certification does not guarantee performance or assure returns.

9. Conflict of Interest

The Research Analyst shall comply with all SEBI regulations relating to disclosure and mitigation of conflicts of interest.

• The Research Analyst and employees do not trade in securities that are subject matter of active recommendations.
• No compensation has been received from companies that are subject matter of recommendations.
• Any actual or potential conflict of interest shall be disclosed to the Client as and when applicable.

10. Termination and Refund Policy

The Client may terminate services if the Research Analyst fails to provide agreed research services.

Services cannot be terminated solely due to trading losses or dissatisfaction with investment outcomes.

In case of suspension or cancellation of SEBI registration, the Research Analyst shall refund fees on a pro-rata basis for the unexpired subscription period, wherever applicable.

12. Important Regulatory Disclosures

• The Research Analyst cannot execute trades on behalf of the Client.
• The Client must never share trading account credentials, OTPs, Demat account details, or banking passwords with anyone.
• Any assured return, guaranteed income, or fixed profit scheme is prohibited by law.
• The Research Analyst cannot guarantee accuracy, profits, or risk-free investments.

13. Centralised Fee Collection Mechanism (CeFCoM)

The optional Centralised Fee Collection Mechanism for Investment Advisers and Research Analysts (CeFCoM) is currently not enabled by the Research Analyst. Once activated, payment through the mechanism may become available to Clients.

14. Confidentiality

Confidential information exchanged during the course of service shall not be disclosed to third parties without prior consent, except where required under law.

15. Limitation of Liability

The Research Analyst shall not be liable for any direct, indirect, incidental, consequential, or trading losses arising from the use of research services, recommendations, or market actions taken by the Client.

16. Dispute Resolution

Any disputes arising between the parties shall be resolved through arbitration or any other dispute resolution mechanism permitted under applicable law and SEBI regulations.

17. Severability

If any provision of these Terms & Conditions is found invalid or unenforceable, the remaining provisions shall continue to remain valid and enforceable.

18. Force Majeure

Neither party shall be held liable for delay or failure in performance caused by circumstances beyond reasonable control, including natural disasters, regulatory actions, system failures, or unforeseen events.

19. Governing Law

These Terms & Conditions shall be governed and interpreted in accordance with the laws of India. Courts located in Navi Mumbai, Maharashtra shall have jurisdiction over all disputes.
